These Terms of Use govern your access to and use of this website. They form a binding agreement between you and Mulium Holding LLC. Please read them carefully. By accessing or using the site, you confirm that you have read, understood, and agree to be bound by these Terms and by the documents they incorporate; if you do not agree, you should not access or use the site.

01Acceptance of these terms

Your access to or use of this website constitutes acceptance of these Terms and of our Privacy Statement, which is incorporated by reference. These Terms govern the website only; they do not govern any advisory engagement, which is the subject of a separate written agreement. If you use the site on behalf of an organisation, you represent that you are authorised to bind that organisation to these Terms.

02Definitions

“Mulium”, “we”, “us” means Mulium Holding LLC and, where the context requires, its officers, personnel, and authorised representatives.
“Site” means this website and all content, features, and functionality offered on it.
“You” means the individual or entity accessing the Site.
“Content” means all text, graphics, design, marks, code, and other material made available on the Site.
“Engagement” means a matter-specific advisory relationship accepted by Mulium under separate written terms.

03About Mulium

The Site is published by Mulium Holding LLC, a privately held advisory practice. Mulium accepts a narrow set of matters at its sole discretion.

04Informational purpose only

The Content is provided for general information. Nothing on the Site is, or should be relied upon as, an offer, a solicitation, or investment, legal, financial, or other professional advice, and nothing on the Site creates an advisory, fiduciary, or client relationship. Reading the Site, or opening a channel, does not by itself engage Mulium or create any obligation on its part.

05Eligibility

The Site is intended for professional and institutional audiences and for persons who are of legal age and have the capacity to enter into a binding agreement. By using the Site you represent that you meet these conditions and that any information you submit is accurate and provided in good faith.

06How engagements begin

Engagements are matter-specific. They begin with a written brief, are accepted at Mulium’s sole discretion, and are governed by the separate written terms and confidentiality agreed for that matter. Those engagement terms, not this Site, define the binding relationship, its scope, its fees, and its governing law and forum, which may differ from these Terms.

07Acceptable use

You agree to use the Site only for lawful purposes and in a manner that does not infringe the rights of, or restrict or inhibit the use of the Site by, any third party. You are responsible for ensuring that your access complies with the laws applicable to you.

08Prohibited conduct

You must not, and must not attempt to:

probe, scan, or test the vulnerability of the Site or its infrastructure, or breach any security or authentication measure;
gain unauthorised access to any part of the Site, accounts, or systems;
scrape, harvest, crawl, mirror, or index the Site or its Content by automated means without permission;
introduce malware, conduct denial-of-service activity, or otherwise interfere with the operation of the Site;
misrepresent your identity or affiliation, or submit unlawful, defamatory, or misleading material; or
use the Site or its Content for any commercial purpose without our prior written consent.

We may, without notice, restrict or terminate access where use threatens the security, integrity, or lawful operation of the Site.

09The enquiry channel

The Site offers a channel through which you may submit a brief enquiry. You are responsible for the content you submit and represent that you are entitled to provide it. Do not submit confidential information of third parties, privileged material, or sensitive personal data through the channel. Submitting an enquiry does not create any obligation on Mulium to respond or to accept a matter, and does not establish a confidential or advisory relationship.

10Feedback

If you choose to send us comments, suggestions, or other feedback about the Site, you grant us a perpetual, irrevocable, royalty-free right to use it without restriction or obligation to you, and you confirm that the feedback does not infringe the rights of any third party.

11Intellectual property

All Content on the Site, including its text, design, layout, graphics, and underlying code, is owned by Mulium Holding LLC or its licensors and is protected by intellectual-property laws. Except as expressly permitted, you may not copy, reproduce, republish, distribute, modify, or create derivative works from the Content without our prior written consent.

12Trademarks

“Mulium” and the Mulium marks and logos are trademarks of Mulium Holding LLC. Nothing on the Site grants any licence or right to use them without our prior written permission. All rights not expressly granted are reserved.

13Third-party links and content

The Site may link to third-party websites or resources provided for convenience only. We do not control, endorse, or assume responsibility for the content, products, or practices of any third party, and access to them is at your own risk.

14Privacy

Personal data processed through the Site is handled as described in our Privacy Statement, which forms part of these Terms.

15Electronic communications

When you use the Site or contact us through it, you communicate with us electronically and consent to receive communications from us in electronic form. You agree that all agreements, notices, and other communications we provide electronically satisfy any legal requirement that such communications be in writing.

16Export controls and sanctions

You represent that you are not located in, and will not use the Site on behalf of any person located in, a jurisdiction subject to comprehensive sanctions, and that you are not a person with whom dealing is prohibited under applicable sanctions or export-control laws. You agree to comply with all such laws in connection with your use of the Site.

17Disclaimers

The Site and its Content are provided “as is” and “as available” without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement. 18Limitation of liability

To the fullest extent permitted by law, Mulium and its personnel will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, goodwill, or opportunity, arising out of or in connection with your use of, or inability to use, the Site or its Content, whether based in contract, tort, or any other theory, even if advised of the possibility of such damages. Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable mandatory law.

19Indemnification

You agree to indemnify and hold harmless Mulium and its personnel from any claim, liability, loss, or expense (including reasonable legal fees) arising out of your breach of these Terms, your misuse of the Site, or your violation of any law or third-party right.

20Availability and changes to the Site

We may modify, suspend, or discontinue any part of the Site at any time without notice. We are not liable for any unavailability of the Site or for any modification or removal of Content.

21Force majeure

We are not responsible for any failure or delay in performance caused by events beyond our reasonable control, including acts of nature, outages, network or infrastructure failures, labour disputes, or governmental action.

22Term and termination

These Terms apply while you access or use the Site. We may suspend or terminate your access at any time, with or without cause. The provisions that by their nature should survive termination (including those on intellectual property, disclaimers, limitation of liability, indemnification, and governing law) survive.

23Governing law and jurisdiction

These Terms, and any non-contractual obligations arising out of or in connection with them, are governed by and construed in accordance with the law of the jurisdiction from which the Site is operated, and the competent courts of that jurisdiction have exclusive jurisdiction over disputes arising from use of the Site, without prejudice to any mandatory consumer or data-protection rights you may have under the law of your place of residence. The separate terms of any Engagement may specify a different governing law and forum for that Engagement.

24Notices

Any notice to Mulium under these Terms should be given through the channel on this Site. We may provide notices to you by posting them on the Site or, where we hold your contact details, by electronic means. Notices are deemed received when posted or sent.

25Accessibility

We aim to keep the Site reasonably accessible and to improve it over time. If you encounter a barrier to access, let us know through the channel on this Site and we will endeavour to address it.

26General provisions

If any provision of these Terms is held unenforceable, the remaining provisions continue in full force. Our failure to enforce a provision is not a waiver of it. You may not assign your rights under these Terms; we may assign ours in connection with a reorganisation. These Terms create no third-party beneficiary rights. Headings are for convenience only and do not affect interpretation. The English-language version of these Terms governs. These Terms, together with the Privacy Statement, constitute the entire agreement between you and Mulium regarding the Site and supersede any prior understanding on that subject.

27Changes to these terms

We may revise these Terms from time to time. The date and version at the top indicate when they were last revised, and your continued use of the Site after a revision constitutes acceptance of the updated Terms.
